1. Scope of Work

Happiness Painting shall furnish labor and materials to perform painting services as specifically described in the written estimate or agreement (“Scope of Work”). Any work not expressly included in the Scope of Work is excluded and may result in additional charges if requested by the Client.

2. Estimates and Changes:

All estimates are based on visible conditions at the time of inspection. Any changes to the Scope of Work, including but not limited to additional preparation, repairs, color changes, access limitations, or surface conditions not reasonably observable, shall require a written change order and may result in additional costs and/or time.

3. Cleanup & Debris Responsibility:

Happiness Painting is responsible only for the cleanup and removal of debris and waste directly created by our painting work, including paint-related materials, coverings, and supplies used by our crew.

Debris, waste, or materials not generated by Happiness Painting — including pre-existing construction debris, personal property, hazardous materials, or unrelated waste — are not included in the Scope of Work. Removal or handling of such items may be performed only upon Client request and may result in additional charges, subject to California law.

4. Client Responsibilities:

The Client agrees to:

\t•\tProvide safe and reasonable access to the work area

\t•\tRemove or protect personal property unless otherwise agreed in writing

\t•\tDisclose known hazardous conditions (including lead-based paint, asbestos, mold, or structural issues)

\t•\tEnsure utilities (water, electricity) are available as required

Happiness Painting shall not be responsible for damage caused by undisclosed conditions or unsafe work environments.

5. Limitation of Warranty:

Unless otherwise stated in writing, all services are provided without express or implied warranties beyond those required by California law. Normal wear and tear, moisture intrusion, structural movement, substrate failure, or pre-existing conditions are not covered.

6. Limitation of Liability:

To the fullest extent permitted by California law, Happiness Painting shall not be liable for incidental, consequential, or special damages. Contractor’s total liability, if any, shall not exceed the amount paid by the Client for the portion of work giving rise to the claim.

7. Termination of Contract:

\ta. Termination by Client

The Client may terminate this agreement at any time by providing written notice. Upon termination, the Client shall be responsible for:

\t•\tPayment for all work completed to date

\t•\tCosts of materials purchased or specially ordered

\t•\tAny non-refundable expenses incurred, as permitted by law

\tb. Termination by Contractor

Happiness Painting may terminate or suspend work with written notice if:

\t•\tPayment is not made as agreed

\t•\tUnsafe or hazardous conditions exist

\t•\tThe Client breaches the agreement

\t•\tEvents beyond Contractor’s control prevent performance (weather, access issues, supply shortages)

The Client shall be responsible for payment for work performed and materials purchased up to the termination date.

\tc. Mutual Termination

Both parties may mutually agree in writing to terminate the contract under terms consistent with California law.

8. Delays:

Contractor shall not be responsible for delays caused by weather, material availability, access issues, undisclosed conditions, or other circumstances beyond reasonable control. Completion dates are estimates only.

9. Indemnification:

To the extent permitted by California law, the Client agrees to indemnify and hold harmless Happiness Painting from claims arising from the Client’s breach of this agreement, unsafe site conditions, or violations of law not caused by Contractor.

10. Governing Law:

This agreement shall be governed by and interpreted in accordance with the laws of the State of California.

11. Entire Agreement:

These terms, together with the written estimate or contract, represent the entire agreement between the parties. No verbal agreements shall be binding unless confirmed in writing.
